1. AGREEMENT TO TERMS

These Terms of Use (“Terms”) are a legally binding agreement between you, personally or on behalf of an entity (“you”), and GTM Utility (“we”, “us”, “our”), concerning your use of gtmutility.com and the GTM Utility web application, including its scheduling and subscription features (together, the “Service”).

Provider: Igors Smirnovs, trading as GTM Utility, gtmutility@gmail.com.

By signing in to or otherwise using the Service you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of a company, you confirm that you are authorized to bind it. You must be at least 18 years old.

“Business Customer” means anyone using the Service in the course of a trade, business or profession. “Consumer” means a natural person using it for purposes outside of those. Provisions that apply to only one group say so.

2. THE SERVICE

GTM Utility visualizes Google Tag Manager (“GTM”) containers as flowcharts of tags, triggers and variables. The paid scheduling feature lets you schedule the publication of a GTM workspace or version at a time you choose and, optionally, add an annotation to Google Analytics (“GA”) properties.

GTM Utility is independent. Google, Google Tag Manager and Google Analytics are trademarks of Google LLC. We are not affiliated with, endorsed by or sponsored by Google. The Service depends on the data and permissions Google makes available through its APIs.

We may make paid features available gradually or only to selected accounts.

3. YOUR ACCOUNT

You sign in with your Google account. You are responsible for all activity under your account and for keeping your Google credentials secure. An account is for one person: do not share your login. Tell us promptly if you suspect unauthorized use. Keep your contact details current: we send notices to the email address of your Google account and, for subscribers, to the billing email you gave at checkout, and you are responsible for monitoring them.

4. GOOGLE ACCESS AND PERMISSIONS

  • Signing in gives the Service read access to your GTM data and your basic Google profile. Scheduling needs additional permissions (publishing GTM containers, editing containers and versions, and reading and editing GA), which you grant separately on Google’s consent screen. We request them only when you use scheduling. Instead of granting them, you can add our shared service account to your GTM container and GA property.
  • You authorize us to use the permissions you grant, and the service account you add, only to read what is needed to show your containers and to carry out the actions you schedule, at the time you schedule them. Our use of Google user data follows the Google API Services User Data Policy, including its Limited Use requirements.
  • You may revoke access at any time, in the app, in your Google account settings, or by removing the service account from your container or property. Scheduled actions that can then no longer be authenticated will fail.
  • You may connect and schedule only containers and properties that you own or are authorized by their owner to manage and publish. Adding the service account to a container or property authorizes us to use it only for schedules created by you or by people you authorize. You are responsible for removing it when that access should end.

5. SCHEDULED PUBLISHING

  • You choose the container, the workspace or version, and the time. You are solely responsible for deciding what is published and for reviewing it beforehand. When you schedule a workspace, we create a version from the workspace as it is at run time, including any changes made since you scheduled it, by you or anyone else, and publish that version. The workspace status shown in the app is informational only.
  • Runs are best effort. A run may be delayed or fail, for example because permissions were revoked, the container changed, Google returned an error or a system was unavailable. We show the outcome in the app but do not guarantee a particular time or result.
  • You can cancel a schedule until we start running it. After that it cannot be cancelled or undone through the Service. Reverting a publish is done in GTM.
  • GA annotations are a best-effort convenience. A failed annotation does not affect the publish.
  • Every user receives a limited free quota of scheduled publishes for containers not covered by a subscription (currently two). Cancelling a schedule does not restore quota. We may change or withdraw the free quota.
  • We may cancel, pause or refuse a schedule if we reasonably suspect misuse or a security risk, or where Google or law requires it.

6. SUBSCRIPTIONS AND PAYMENT

Plans, seats and containers

Paid plans, with their price, seats and container limits, are shown on the Plans screen. A subscription belongs to an account whose admin (the purchaser) can add containers and members, upgrade and cancel. The admin is responsible for the members they add and for their compliance with these Terms.

Seats are personal and are assigned to named individuals. Do not share a seat. Each container slot holds one container. A container cannot be removed from a slot, only replaced, and only once 30 days have passed since it was assigned to that slot and while it has no scheduled or running publishes. Do not rotate containers to exceed the limits of your plan. Exceptions are at our discretion and are requested through support.

Billing

Subscriptions renew automatically every month until cancelled. Payments are processed by Stripe, and we do not store your card details. By subscribing you authorize recurring charges at the price then applicable to your plan under “Price and plan changes” below. The price shown in Stripe Checkout when you subscribe is the price you agree to. We will correct an obvious pricing error before charging you, and you then decide whether to subscribe at the corrected price.

Prices are in US dollars. No VAT is charged or shown. You are responsible for any taxes, duties or levies that you owe in your own country on your purchase. If we become legally required to charge VAT or another tax, it will be added to future charges, with notice as described under “Price and plan changes”.

Failed payments

If a payment fails we may retry it, and the subscription may become past due. Only an active subscription covers new schedules. Otherwise new schedules use the free quota, if any, or are refused. We may cancel schedules that remain after a subscription has ended or lapsed.

Upgrades and cancellation

You can upgrade at any time. The new plan applies immediately at its current price, and the prorated difference for the rest of the paid period is charged. Downgrades are not available in the app: contact support.

You can cancel at any time in the app. Cancellation takes effect at the end of the current paid period and you keep access until then.

Refunds

Payments are non-refundable, including for partly used periods, except: (a) the statutory right of withdrawal of Consumers (see “Right of withdrawal”); (b) where a failure or critical defect of the Service on our side prevents you from using the paid feature. In that case contact support, and we will investigate and, at our choice, fix the problem, extend your paid period or refund the affected period in whole or in part; and (c) where the law requires a refund.

7. PRICE AND PLAN CHANGES

New purchases

We may change prices, plans, limits and features at any time. A change applies to new purchases from the moment it is published.

Existing subscriptions

A change to the price of your existing plan never applies to a period you have already paid for. It takes effect from the first renewal after we have notified you, and we give at least 30 days’ notice by email and in the app. If you do not agree, you can cancel in the app before the new price takes effect. You then keep access until the end of the period you have paid for and are not charged the new price.

Business Customers: if you do not cancel before the new price takes effect, you accept it.

Consumers: we adjust the price of an existing subscription only to reflect changes in the costs of providing the Service that we do not control (hosting and infrastructure, payment-processing fees, third-party software and API fees, taxes and levies, or legal requirements), and only by the amount of that change. We pass on decreases of those costs in the same way. Any other price increase for an existing Consumer subscription needs your express consent. Without it, your subscription continues at the current price until you cancel or we terminate it under “Suspension and termination”.

Other changes

Reductions to what a paid plan includes (for example seat or container limits, or a feature) follow the same notice and cancellation rules and never apply to a period you have already paid for. If we discontinue a paid feature entirely, we refund what you have prepaid for the period after it ends. Promotional, discounted or legacy prices may be offered and do not entitle you to that price for any period we have not confirmed.

8. RIGHT OF WITHDRAWAL (CONSUMERS)

If you are a Consumer you have the right to withdraw from a paid subscription within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract was concluded. To exercise the right, inform us of your decision to withdraw by a clear statement (for example an email) to the provider named in section 1. You may use the model withdrawal form, but it is not obligatory. It is sufficient to send your notice before the period expires.

If you withdraw, we reimburse all payments received from you without undue delay and no later than 14 days after we receive your notice, using the same means of payment and at no cost to you. If you asked for the Service to begin during the withdrawal period, you pay us a proportionate amount for what has been provided up to the moment you informed us of your withdrawal, compared to the full coverage of the contract.

9. INTELLECTUAL PROPERTY

  • Ownership. The Service, including its source and object code, software, algorithms, graph layout and visualization logic, databases and data structures, user interface, design, text, graphics, documentation, names and logos (“GTM Utility IP”), is owned by or licensed to us and protected by copyright, trademark, database, trade secret and other laws. Nothing in these Terms transfers any ownership to you.
  • License. While you comply with these Terms, and for paid features while your subscription is active, we grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable license to use the Service for your own internal business or personal purposes, including work on client containers you are authorized to manage. You may use and share visualizations generated from containers you are authorized to work on for documentation, audit and client reporting.
  • Restrictions. You may not: copy, modify, translate or create derivative works of the Service; reverse engineer, decompile or disassemble it or try to derive its source code, algorithms or structure, except as mandatory law allows; resell, sublicense, rent, white-label or offer the Service or its output as a service of your own; use the Service or its output to build or train a competing product; or remove or alter ownership notices.
  • Your data. You keep all rights in your GTM and GA data and configurations (“Your Data”). You grant us a limited license to access, process and transmit Your Data only to provide the Service to you, including running your schedules, as described in the Privacy Notice.
  • Feedback. If you give us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
  • All rights not expressly granted are reserved. You may not use our name or logo without our written permission.

10. ACCEPTABLE USE AND SECURITY

You agree not to, and not to allow anyone else to:

  1. use the Service unlawfully, for a purpose it is not offered for, or in breach of third-party rights or Google’s terms;
  2. schedule, publish to or otherwise access a GTM container or GA property that you are not authorized to manage, including through the shared service account that another customer added to their own container;
  3. circumvent, disable, probe or tamper with authentication, authorization, security controls, rate limits, the free quota, seat and container limits, the container-swap cooldown, or billing, including by accessing or changing the Service’s databases, APIs or backend by any means other than its own user interface;
  4. share seats or logins, or resell or transfer access;
  5. use bots, scripts, scrapers or other automated means to access the Service or extract data from it, other than ordinary browser use and search engines;
  6. introduce malware or anything intended to damage, overload or disrupt the Service, its infrastructure or other users’ data or configurations, or run load or penetration tests without our written permission;
  7. try to gain unauthorized access to other users’ accounts, data or tokens, to our systems, or to third-party systems connected to the Service such as Google and Stripe;
  8. manipulate payments, including using payment methods you are not entitled to use, bad-faith chargebacks, or creating multiple accounts to obtain additional free quota;
  9. impersonate another person or misrepresent your affiliation.

Reporting vulnerabilities. If you find a security issue, report it privately to gtmutility@gmail.com. Do not exploit it, do not access or keep other users’ data beyond the minimum needed to demonstrate it, and do not disclose it publicly until we have had reasonable time to fix it. We will not take action against good-faith reports that follow this rule.

11. MISUSE AND RESPONSIBILITY FOR DAMAGE

If you, or anyone using your account or acting on your behalf, breaches the previous section or otherwise breaks, corrupts, overloads or compromises the Service, its data, or its subscription, billing or quota systems:

  • we may immediately suspend or terminate access, cancel schedules, revoke any entitlement or access obtained through the breach and block related accounts, and we are not required to refund amounts paid for the affected period, to the extent the law permits;
  • you must pay the fees that would have applied had you used the Service in line with these Terms, for example the plan matching the seats and containers actually used;
  • you are liable for the damage we suffer through your culpable breach, including reasonable costs of investigation, repair and restoration, payment-processor fees and chargebacks, enforcement costs, and claims by third parties, including Google. For Consumers this liability is as provided by law;
  • we may report the matter to the authorities, pursue civil and criminal remedies including injunctive relief, and share the necessary information with Google, Stripe and other affected parties;
  • you are responsible for the acts and omissions of the members and other people you authorize on your account.

12. YOUR DATA AND BACKUPS

We store your account profile, the Google credentials needed to run your scheduled actions, and your subscription, membership and schedule records, as described in the Privacy Notice. You are responsible for your GTM containers and their content. GTM keeps version history; export or back up important containers and versions before you schedule changes to them. We take reasonable care, including routine backups, but do not guarantee that data can always be recovered. Our liability is governed by “Limitation of liability”.

You can ask us to delete your account data at any time. We keep records we are legally required to keep, such as billing records.

13. THIRD-PARTY SERVICES

The Service relies on third parties, including Google (sign-in, APIs and cloud infrastructure) and Stripe (payments). Their terms apply to your use of them. We are not responsible for their availability, policies or changes, including changes to Google API scopes, quotas or approvals. Links to third-party websites are provided for convenience only, and we do not control or endorse their content.

14. AVAILABILITY AND CHANGES TO THE SERVICE

We make reasonable efforts to keep the Service available but cannot guarantee uninterrupted or error-free operation. There may be maintenance, outages or problems at Google or other providers. We may change, add or remove features. Where this reduces a paid plan, “Price and plan changes” applies. We may discontinue the Service on 30 days’ notice and will refund prepaid fees for the period after it ends.

15. SUSPENSION AND TERMINATION

You may stop using the Service, cancel your subscription and revoke access at any time. We may suspend or terminate your access immediately, with notice, for a material breach of these Terms, a security risk, non-payment, or where Google or the law requires it. We may also terminate a paid subscription for any other reason with 30 days’ notice and will refund prepaid fees for the period after termination. We may end free access at any time.

When access ends, your license ends and your open schedules are cancelled. Provisions that by their nature should continue, including those on intellectual property, misuse, liability and disputes, continue. If we terminate your account for breach, you may not open a new account without our written permission.

16. DISCLAIMER OF WARRANTIES

The free parts of the Service are provided “as is” and “as available”. For paid features we provide the Service with reasonable care. To the extent the law permits, we make no promise that the Service is error-free, that visualizations show every setting of your containers, or that scheduled runs happen at a particular time. The Service does not replace reviewing your containers in GTM. Mandatory statutory rights, including the rights of Consumers, are not affected.

17. LIMITATION OF LIABILITY

We are liable without limitation for intent and gross negligence, for injury to life, body or health, for fraudulently concealed defects, under any guarantee we have given, under the Product Liability Act, and wherever else the law does not allow liability to be limited.

For slight negligence we are liable only for breach of an essential contractual obligation (one whose fulfilment makes proper performance of the contract possible and on which you may regularly rely), and then only for foreseeable damage typical for this kind of contract. Otherwise we are not liable for slight negligence. For loss of data, our liability is limited to the effort that restoring the data from regular backups would have taken. Subject to the above, we are not responsible for the consequences of content you choose to publish through the Service. These limits also apply to our employees, agents and subcontractors.

18. INDEMNIFICATION

To the extent the law permits, you will indemnify us against claims by third parties, including reasonable legal costs, arising from your culpable breach of these Terms or the law, from content you publish through the Service, or from your scheduling or accessing a container or property you were not authorized to manage. We will notify you of such a claim promptly, and you will reasonably cooperate in our defense.

19. CHANGES TO THESE TERMS

We may update these Terms, for example for new features, changes in law or security. We post the new version with a new date. Changes that only benefit you, or that are required by law or to protect the Service’s security, may take effect immediately. For Business Customers, continued use after the effective date means acceptance. For Consumers, changes that alter the balance between what we provide and what you pay need your express consent. Without it, the contract continues on the previous terms, and we may terminate under “Suspension and termination”. Price changes are governed by “Price and plan changes”.

20. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Germany. The United Nations Convention on Contracts for the International Sale of Goods is excluded. If you are a Consumer habitually resident in the EU, you also keep the protection of the mandatory provisions of the law of your country of residence. Consumers may bring claims before the courts competent under the law, including those of their place of residence. For Business Customers, the courts of Munich have jurisdiction, and we may also sue at your place of business.

Before starting court proceedings, the parties agree to try to resolve a dispute informally for at least 30 days from written notice. This does not apply to claims concerning intellectual property, unauthorized use or security, or to claims for injunctive relief.

21. ELECTRONIC COMMUNICATIONS

You consent to receive agreements, notices and other communications from us electronically, by email and in the app, and agree that they satisfy any requirement that they be in writing. Electronic signatures and records are valid for these Terms and for purchases through the Service.

22. GENERAL

These Terms, and policies posted in the Service, are the entire agreement between you and us about the Service. If a provision is found invalid or unenforceable, the rest remains in force and the provision is replaced by a valid one that comes closest to its purpose. A right we do not exercise is not waived. We may transfer these Terms to a successor to our business; you may not transfer them without our written consent. We are not liable for delay or failure caused by events beyond our reasonable control. No partnership, employment or agency relationship arises from these Terms.
